1. Agreement to terms
By accessing or using the Lickety mobile application, web portal, or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Lickety Logistics LLC ("Lickety," "we," "us," or "our"). If you do not agree to these Terms, do not use the Service.
2. Description of service
Lickety provides a freight delivery logistics platform that connects drivers, shippers, receivers, and carrier administrators. The Service includes a mobile application for drivers and administrators, a web-based portal for managing appointments and monitoring deliveries, and related tools such as GPS tracking, messaging, push notifications, and payment processing.
3. Eligibility
You must be at least 18 years old and legally able to enter into binding agreements to use the Service. By creating an account, you represent that the information you provide is accurate and complete, and that you will keep it up to date.
4. Account registration and security
To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@lickety.io if you suspect unauthorized use of your account.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Provide false, misleading, or fraudulent information, including location data
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Attempt to gain unauthorized access to any part of the Service or other users' accounts
- Use the Service to transmit harmful, threatening, abusive, or objectionable content through messaging features
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
- Use automated tools, bots, or scrapers to access the Service
6. Driver-specific terms
If you use the Service as a driver, you additionally agree that:
- You will enable location services on your device and permit background GPS tracking while an appointment is active, as this is required for the Service to function
- You are responsible for arriving within the specified pickup and delivery windows for any appointment you claim
- You may release an appointment you have claimed, which will return it to the available pool for other drivers
- Status colors (green, yellow, red) are calculated automatically based on your distance and remaining time and are shared with shippers, receivers, and carrier administrators
- You are solely responsible for safe and lawful operation of your vehicle at all times
7. Admin and portal users
If you access the Service as a receiver, shipper, carrier administrator, or super administrator through the web portal or mobile admin app, your access is scoped to the role assigned to you by your organization. You agree not to exceed your authorized access level or share portal login credentials with unauthorized individuals.
8. Payments
Certain appointments may involve payment processing through our third-party payment partner. When a driver claims such an appointment, a payment hold may be placed. The hold is released upon confirmation of delivery or as otherwise specified. Lickety is not a payment processor and is not responsible for disputes between parties regarding payment amounts, timing, or processing errors. Payment terms between drivers and carriers are governed by their separate agreements.
9. Messaging
The Service includes in-app messaging between drivers and carrier administrators. Messages are stored on our servers and are accessible to the participants of each conversation. You agree to use messaging only for purposes related to freight delivery and logistics. We reserve the right to monitor messages for compliance with these Terms.
10. Push notifications
The Service may send push notifications to your device regarding appointment status, queue updates, at-risk alerts, messages, and other operational information. You may disable push notifications in your device settings, but doing so may impair your ability to use the Service effectively.
11. Shipment tracking links
The Service generates public tracking URLs for appointments. These links display shipment status, estimated delivery times, and limited driver information to anyone who has the link. Portal users who share tracking links are responsible for ensuring they are shared only with intended recipients.
12. Intellectual property
The Service, including its design, features, code, content, and trademarks, is owned by Lickety Logistics LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, or create derivative works based on the Service.
13. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information, including location data. By using the Service, you consent to the practices described in the Privacy Policy.
14. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. GPS tracking, distance calculations, and status indicators are estimates and should not be relied upon as the sole basis for operational decisions.
15. Limitation of liability
To the fullest extent permitted by law, Lickety Logistics LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to lost profits, lost data, missed deliveries, or business interruption, regardless of the theory of liability.
16. Indemnification
You agree to indemnify, defend, and hold harmless Lickety Logistics LLC and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
17. Termination
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification.
18. Changes to terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
19. Governing law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Texas.
